Terms & Conditions

These terms govern your use of the SecureH website and any managed IT services provided by SecureH. Please read them carefully before engaging our services.

These Terms and Conditions ("Terms") are entered into between SecureH ("we", "us", "our") and you ("Client", "you"). By engaging our services, booking a consultation, or using our website, you agree to be bound by these Terms. If you do not agree, please do not proceed.

These Terms are governed by the laws of New South Wales, Australia.

1. Acceptance of Terms

By using the SecureH website located at secureh.com.au or engaging SecureH for managed IT services, you confirm that:

  • You are at least 18 years of age or are an authorised representative of a business entity.
  • You have read, understood, and agreed to these Terms and our Privacy Policy.
  • You have the authority to enter into this agreement on behalf of your organisation, if applicable.

We reserve the right to update these Terms at any time. We will notify existing clients of material changes via email. Continued use of our services after changes constitutes acceptance of the updated Terms.

2. Services Provided

SecureH provides managed IT services to small and medium businesses, which may include but are not limited to:

  • Remote Monitoring and Management (RMM) of endpoints and servers.
  • Endpoint Detection and Response (EDR) and antivirus protection.
  • Ransomware protection and data backup and recovery services.
  • Microsoft 365 setup, administration, and support (including Entra ID and Intune).
  • IT helpdesk and remote technical support.
  • Security assessments and IT consultations.

Service Level Expectations

We aim to respond to all support requests within 2 hours during business hours and maintain a 99.9% uptime for monitored systems. These are targets, not guaranteed service level agreements unless specified in a separate written agreement.

The specific scope of services will be agreed upon in writing prior to commencement. We reserve the right to decline or modify service requests that fall outside the agreed scope.

3. Pricing & Payment

Our pricing is based on a per-device, per-month model. The following payment terms apply:

  • Invoicing — invoices are issued monthly in advance at the start of each billing period.
  • Payment terms — payment is due within 14 days of the invoice date.
  • Accepted methods — bank transfer (EFT), credit card, or other methods agreed in writing.
  • Late payments — accounts overdue by more than 14 days may result in temporary suspension of services until payment is received.
  • Price changes — we will provide at least 30 days written notice of any pricing changes.
  • GST — all prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. GST will be added to invoices where applicable.

Quoted prices are valid for 30 days from the date of the quote. A formal service agreement will outline the final agreed pricing before services begin.

4. Cancellation & Termination

SecureH operates on a month-to-month basis with no lock-in contracts. Either party may terminate the service agreement under the following terms:

  • Client cancellation — you may cancel at any time with 30 days written notice sent to Support@SecureH.com.au. Services will continue until the end of the notice period.
  • SecureH termination — we may terminate services with 30 days notice if the arrangement is no longer commercially viable or for any business reason.
  • Immediate termination — either party may terminate immediately if the other party materially breaches these Terms and fails to remedy the breach within 7 days of written notice.
  • Outstanding payments — termination does not waive any outstanding payment obligations. All amounts due remain payable.
  • Data offboarding — upon termination, we will assist in returning or transferring client data within a reasonable timeframe, and will securely delete our copies within 30 days.

5. Limitation of Liability

To the maximum extent permitted by Australian law, SecureH's liability is limited as follows:

  • SecureH's total liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
  • SecureH is not liable for any indirect, incidental, special, or consequential losses including lost profits, data loss, or business interruption, even if advised of the possibility of such losses.
  • SecureH is not liable for security incidents caused by vulnerabilities outside the scope of our managed services, or resulting from your failure to follow our recommendations.
  • SecureH is not responsible for the actions or failures of third-party platforms (such as Microsoft, Formspree, or cloud providers) outside of our direct control.

Important Note

Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under Australian Consumer Law.

Client Responsibilities: You are responsible for ensuring your staff follow basic cybersecurity practices, maintaining current software licences, and promptly notifying SecureH of any known security incidents or system changes that may affect our services.

6. Intellectual Property

The following intellectual property terms apply:

  • SecureH tools & systems — all monitoring tools, scripts, configurations, templates, and processes developed by SecureH remain our exclusive intellectual property. We grant you a limited, non-transferable licence to use these as part of our services.
  • Your data — all business data, files, and information belonging to your organisation remain your property at all times. We will not use your data for any purpose other than delivering the agreed services.
  • Website content — all content on the SecureH website, including text, graphics, and branding, is owned by SecureH and may not be reproduced without written permission.

7. Confidentiality

Both parties agree to keep confidential any information shared during the course of the business relationship that is not publicly known. This includes:

  • SecureH's pricing, tools, processes, and technical configurations.
  • Your business information, systems architecture, employee data, and commercial arrangements.

This confidentiality obligation survives the termination of services for a period of 3 years. Neither party will disclose confidential information to third parties without prior written consent, except where required by law.

8. Website Use

When using the SecureH website, you agree to the following:

  • You will not attempt to gain unauthorised access to any part of our website or systems.
  • You will not use our website for any unlawful purpose or in a way that could damage, disable, or impair the site.
  • You will not submit false or misleading information through any forms on our website.

Our website is provided "as is". While we strive to keep it accurate and available, we make no warranties that the site will always be accessible, error-free, or that information will be current.

9. Third-Party Links

Our website may contain links to third-party websites (such as TidyCal for booking). These links are provided for convenience only. SecureH has no control over the content or privacy practices of linked websites and is not responsible for any loss or damage arising from your use of them. We encourage you to read the privacy policies of any third-party sites you visit.

10. Governing Law & Disputes

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of New South Wales.

Before commencing any legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation before escalating to litigation.

Your rights as a consumer under the Australian Consumer Law are not affected by these Terms.

11. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy and any written service agreement signed between the parties, constitute the entire agreement between you and SecureH regarding our services. They supersede all prior discussions, representations, and agreements.
